PT Pupuk Indonesia Energi’s commitment to the Implementation of Good Corporate Governance

In order to realize the company’s goal of becoming a solution provider for the national agro-industrial sector, hereby the Board of Directors and Board of Commissioners of PT Pupuk Indonesia Energi commit to:

  1. Carry out every transactional and decision-making based on the principles of Good Corporate Governance (GCG) and compliance with applicable laws and regulations.
  2. Carry out duties and responsibilities in accordance with the Good Corporate Governance Guidelines, Board Policy Manual, Business Ethics Guidelines & amp; Work Ethics and other supporting guidelines related to the consistent and responsible implementation of GCG.
  3. Implement other guidelines related to the implementation of GCG for all PI Energi personnel in order to create an ethical and dignified work environment.
  4. Implementing management reports and company financial reports that are presented in a transparent, accurate and timely manner, and ensuring the fulfillment of other transparency obligations in accordance with applicable laws and regulations.
  5. Providing exemplary in all matters and creating a conducive environment in the framework of implementing Clean Energy PI against the practice of Corruption, Collusion and Nepotism as well as the practice of fraud (Fraud) and other illegal practices by applying strict sanctions for each violation.

The commitment of the Board of Directors and the Board of Commissioners in implementing Good Corporate Governance is carried out in the Guidelines for the Implementation of Good Corporate Governance (GCG Guidelines) as attached:

Audit Charter

The Internal Supervisory Unit Charter is a formal document that describes the structure and position of the Internal Supervisory Unit, qualifications, operational work scope, authority, responsibility, professional standards, relationships with external auditors and the Audit Committee, code of ethics, as well as the independence and objectivity of the SPI. The Internal Supervisory Unit Charter forms the basis for SPI in carrying out its duties and is binding on all work units and subsidiaries.

Whistleblowing System

Whistleblowing system is a reporting mechanism that can be submitted by internal or external companies to report any acts that violate the law, or other applicable regulations, or acts against ethics committed by employees in the company while maintaining the confidentiality of the reporter. Every party, both employees of the Company and external parties, has the same opportunity to report suspected violations in the Company. The WBS is part of the internal control system in preventing irregularities and fraud and strengthening the implementation of Corporate Governance practices.
